Welcome to Helices Ai Technology Inc. (“Helices,” “we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your use of our product and services (“Services”), including the AI-powered platform that extracts data from documents uploaded by you (“Client,” “you,” “your”) to assist in the preparation and completion of Immigration, Refugees and Citizenship Canada (“IRCC”) visa application forms.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

Description of Services

Helices provides an AI-driven document automation platform that assists users in completing IRCC visa application forms by extracting information from uploaded documents and pre-populating relevant forms.

Eligibility and Account Responsibility

You must be at least the age of majority in your jurisdiction and capable of entering into a binding agreement. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

Client Obligations

You agree to:

• Provide accurate, complete, and up-to-date information.
• Upload only documents that you have the legal right to use and disclose.
• Review all AI-generated outputs and IRCC forms before submission to any authority.

You are solely responsible for the accuracy and completeness of the information used in any immigration application.

Use of AI Services

You acknowledge that our platform utilizes artificial intelligence and automated decision-making technologies. These tools are designed to assist in processing information, but human oversight is required. You must verify the accuracy of any forms or data generated.

No Legal or Immigration Advice

Helices is not licensed by the College of Immigration and Citizenship Consultants (CICC), and our platform is not a substitute for the advice or services of a Regulated Canadian Immigration Consultant (RCIC), lawyer, or authorized representative. If you require legal or immigration advice, we strongly recommend consulting a qualified professional.

Confidentiality and Data Protection

We respect your privacy and handle your data in accordance with our Privacy Policy. We take reasonable administrative, technical, and physical measures to protect your information.

You consent to Helices using and processing your documents and personal data solely for the purposes of providing the Services.

Fees and Payments

The Services include both paid-for Services and free Services. The fees for accessing the paid-for Services available on the website are set out on our product page. Applicable taxes apply in addition to all fees charged. All payments are non-refundable unless stated otherwise. We reserve the right to modify our fees at any time.

For purposes of processing payments, we use the following Service Provider: STRIPE, INC. Before using the paid-for Services, you must first review and approve the terms and conditions governing the use of third-party payment processors, which are available at the following website:

Intellectual Property

All content, software, and technology associated with Helices remain our exclusive property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal and lawful use only.

Limitation of Liability

To the fullest extent permitted by law, Helices and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of our Services.

Helices is not liable for:

• Any decision made by IRCC or another government body.
• Errors in your documents or data.
• Your failure to verify the accuracy of auto-filled forms.

Third-Party Services

Helices Ai Technology Inc. may engage third-party service providers to support the operation, hosting, analysis, development, or improvement of the Services (“Third-Party Services”). These may include but are not limited to cloud infrastructure, AI processing APIs, document analysis tools, customer support systems, and professional services.

By using our Services, you acknowledge and agree that:

• We may share limited personal information with trusted third parties strictly for the purposes of delivering or improving our Services.
• All third parties are contractually obligated to maintain appropriate data privacy, security, and confidentiality standards consistent with applicable Canadian privacy laws (e.g., PIPEDA).
• We are not responsible for the content, functionality, or policies of third-party services that we do not own or control.
• Your use of third-party integrations (e.g., submitting forms to IRCC or downloading completed documents) may be subject to the terms of those third parties.

Helices is not liable for any damages or losses resulting from your use of third-party platforms, links, or tools accessed via or integrated with our Services.

Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind. We do not warrant that our platform will be error-free or that it will meet your specific needs.

Termination

We reserve the right to terminate or suspend your access to our Services at our discretion, including for breach of these Terms. Upon termination, your license to use the Services will immediately cease.

Compliance with Laws and Ethical Standards

You agree to use the Services in accordance with all applicable local, provincial, federal, and international laws and regulations. You further agree not to:

• Use the Services for any unlawful, fraudulent, or malicious purpose, including misrepresentation in immigration applications.
• Upload documents or content that is false, misleading, defamatory, obscene, or infringes on any third party’s intellectual property or privacy rights.
• Attempt to gain unauthorized access to any part of our platform, user data, or systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use bots, scraping tools, or any automated means to extract data from our platform without authorization.
• Impersonate another individual or entity or falsely state or otherwise misrepresent your affiliation.

Helices operates in accordance with applicable Canadian laws. Although Helices itself is not a licensed immigration consultant, any CICC licensees affiliated with the company who hold such credentials must comply with the CICC Code of Professional Conduct.

Helices reserves the right to suspend or terminate access for any user engaged in prohibited conduct.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
